Step 1, the exposure, answered as the search question. People reach this URL by searching "what is software escrow", so the definition comes first, reworded from production's FAQ and "What is software escrow?" block. The three risks are production's (vendor failure, security gaps, frozen deals), written calmly; "continuity guarantees" becomes "continuity terms". Production shows a diagram here (what-is-diagram-software-escrow.png). It couldn't be opened from the kit to check for old product or tier names, so the three-party model is drawn as a product screen instead. Swap the production diagram back in only after someone has checked it.

What is software escrow?

A neutral party holds the code, under terms agreed up front.

Software escrow is an agreement between a software vendor, its customer and a neutral escrow agent. The vendor deposits the source code, data and documentation. The agent holds and checks them. If an agreed release condition is met, the deposit is released to the customer, who can then maintain the software without the vendor. It protects against:

  • Vendor failure. Insolvency or a discontinued product can cut off support and force a costly migration.
  • Security gaps. Without the source code, you can't fix a vulnerability the vendor no longer patches.
  • Stalled deals. Enterprise buyers often ask for continuity terms before they sign.
Step 2, the shift, made specific to software. Production lists three asset types (source code, data, documentation). Build and deployment assets are added because a rebuild needs them; production's own Backup page describes them in the same words, and the Escrow page mock lists build scripts. Step 3, the model: application, then protection, then agreement and deposit. Production's four steps start with "Book a free consultation" and end with "Certify your resilience". These follow the new model instead. The agreement types (two-party, three-party, multi-party) are from production's FAQ. "Drafted by our legal team" and jurisdiction choice are production claims ("Legal framework included", "Jurisdiction selection"); confirm both are still offered on the new plans. Production's "24/7/365 event processing" and its fee are left out: no service levels for operations, and the fee differs between pages.

What is software escrow?

Software escrow is an agreement in which a software vendor deposits the source code, documentation and other materials needed to maintain its software with a neutral escrow agent, such as Codekeeper. The agent holds and checks the deposit for both parties. If an agreed release condition is met, the deposit is released to the beneficiary, who can then maintain and support the software without the vendor.

What is a software escrow agent?

A neutral third party that holds the deposit for both sides. Codekeeper manages the deposits, checks what's in them and releases them when the agreed conditions are met.

What does a software escrow deposit include?

Whatever it takes to rebuild and run the application: source code, build and deployment assets, data and technical documentation. The agreement lists it, and our automated check confirms it's there.

What are the release conditions?

The conditions written into your Escrow Agreement, for example the vendor's insolvency, discontinued support or a material breach. When one is met, we verify it and release the deposit to the beneficiary.

How quickly do we get access after a release?

Once release conditions are verified, beneficiaries typically have access within two to three hours.

How does a software escrow agreement work?

The agreement says what gets deposited, when it's released and who receives it. Two-party agreements run between the vendor and Codekeeper, so protection can extend to any customer who asks. Three-party agreements name one beneficiary, who signs too. Multi-party agreements name several, each with its own release conditions.

Who runs the recovery?

With Escrow, you do: the deposit is released to you. With Resilience, the deposit comes to Codekeeper and we run the recovery. Continuity also keeps the live environment paid and switched on for an agreed period while we recover.

Do we need software escrow if we have a disaster recovery plan?

Usually, yes. A disaster recovery plan restores systems you control. With licensed software, the vendor holds the source code, so your plan can't rebuild it. Escrow fills that gap. For systems you build yourself, Software Backup may be all you need.
